Which Incorporation Services You Need And Which You Can Do Without

If you’re reading this post, you’ve probably decided two things:

1. Hiring an attorney to form your LLC (at $1,500 - $3,500) is too expensive; and

2. You’re not going to do it yourself–filling out government forms gives you hives.

The only option left is to choose an online incorporation company to form your LLC for you.

The only problem is that there are hundreds of online incorporation companies ready to sell you a dizzying array of services and a confusing pricing structure.

Which services do you need?

Probably the biggest factor in determining the cost of forming an LLC are all the add-ons offered. In the marketing world these are called “upsells”. Understand that your plain-vanilla LLC formation is relatively simple. The company pays someone (or more likely has software auto-populate the form) to fill out an Articles of Organization form from the state where you’re forming your LLC. Then they mail that form with a check to the Secretary of State. Some time later, usually a few days or weeks at most, you have a legal LLC. There’s only so much that a company can charge for simple paper-shuffling of that kind.

So the real profit for online incorporation companies are the add-ons. I’m not begrudging them thateveryone needs to make a profit. The only question is which services do you really need, and which can you live without.

Essential Services

1. Registered agent service if you incorporated in a different state than you live in.

This one is clear cut. If you don’t have a physical address in the state you’re forming your LLC in, then you don’t have a legal LLC. Example: if you form a Nevada LLC, then you need to live or have your business in Nevada with a physical address for the government to send tax returns and serve legal process on you. If you don’t live or work there, then you need to hire a company with a physical presence in (for this example) Nevada.

2. A Corporate Veil Guarantee.

This is included standard with all Company Corporation packages. It’s basically insurance against your corporate veil being pierced. If your company is sued and you’re held personally liable because your corporate veil is pierced, they’ll reimburse legal defense fees up to $50,000.

Things you can live without:

1. Corporate kits and binders.

These are attractive binders to hold your filed Articles of Organization certificate in. It’ll look nice on your shelf. If a fancy binder is worth $25 or $50 or whatever they’re charging to you, then go ahead and get it. Or you can just buy a $1 binder at Office Depot. It’ll hold paper just the same.

2. Embosser with your corporate seal.

These look really cool. In college I started a non-profit magazine with some friends and we incorporated it as a 501(c)(3) company. We got the whole package–including the embosser. We had absolutely no legal use for the embosser. Mainly people would play with it when working on an articleembossing everything from waste paper to old magazine covers.

Things to consider getting:

1. EIN service.

You’re going to need an EINalso known as an Employer Identification Number. An EIN is an identifier from the federal government that is essentially like a social security number for your company. You’ll need it to open bank accounts and apply for credit. As the name implies, you’ll also need it if you ever hire employees. But even if you are running a single member LLC with no intention of hiring employees, you’re still going to need an EIN.

The reason why this is under the “consider getting” category is that you can obtain an EIN yourself at no cost. It’s not too difficult. Just fill out one form, called an SS-4, and phone it in to the IRS. They’ll give you your number right on the phone or by return fax. I’ve done it and it’s actually quite painlessI’d say almost pleasant, but we are talking about a call to the IRS.

2. Expedited filing.

If you absolutely need to be incorporated now, then I suppose it’s worth it. Why are you in such a rush? If you’re trying to move and assets from a creditor or ex-spouse (or soon to be ex-spouse), then, let me tell you in my non-legal opinion, that it will probably not work. If you’ve simply procrastinated, then that’s the price you pay. If you need to be incorporated ASAP because you’re about to sign a contract on the company’s behalf, then again, it might be worth it.

1. Credentials

What certifications, college /university degrees and experience does he/she have?

How many clients or how much money does he/she handle?

How are you compensated? Flat fees, salary or commission? (Beware of those who earn big commissions for placing you in high risk funds)

Are there any hidden underwriting fees with my investment fund?

Will you explain all the cost involved with each investment?

What is the cost of liquidating or canceling my account with your firm? (Good to know, if you decide to switch funds or investment companies)

3.Characteristics

What is your investment philosophy?

Do you focus on domestic markets, foreign market or both? (Answer should be both)

What is your specialty? Your strongest area? (Global portfolio management, no load mutual funds, stocks, bonds etc)

How do you view risk and how does your philosophy fit my risk tolerance?

4.Customer service

What services does your firm offer?

How accessible will you (the agent) be?

Will you review the funds last 5 to 10year performance in the prospectus?

What has been your year-to-year investment performance?

What was you worst year? Best year? And why? (Look for defensiveness or humility after raising this question, it reveals personality type)

Do you offer financial planning, money management or both?

In conclusion, a financial planner works for you, and should be compatible with your personality, risk tolerance and financial goals. Make sure that your hard earn money is in good hands. Interview potential planners, ask for references and call at least 3 of those references.

Fool Proof Way to Find Yourself a Profitable Niche Market

Before you can start making money you will need to find out what kind of product you would like to sell.

Investing in a market where there is either too much competition, which would not leave you enough market share, or in a market where there are simply no customers, is a mistake a lot of beginning online adventurers make. Imagine, you already have a major advantage if you would only decide to use the knowledge which you’ll learn in this chapter. After this chapter you will already know how to find a niche market with a lot of potential.

So, let’s get to it and find those niche markets!!

The greatest thing about the internet is all the information you can find, some of it you will have to pay for, which is fine since it is more than worth it, but most of it is available for free.

What you need to do first is make a list of words (from now on we refer to them as keywords).

At this stage it really doesn’t matter what kind of keywords. You need to grab a pen and paper and start writing. Write down every single word you can come up with. This might be hard when you just start and it probably feels like you can’t come up with keywords immediately. Some guidelines to get you going.

Think of the following:

I suggest you take your time for your keyword list since you will be using and extending it throughout your online career.

A good suggestion as well, one which I read during my investigations, is asking all your friends and family for suggestions. The more people you ask, the more keywords you will come up with. Take a notepad with you wherever you go, it will definitely surprise you what kind of keywords you will come up with in the next few days.

Great, I’m sure you’ve been doing your homework the past few days and by now you will have a massive keyword list to work with. What comes next is, without a doubt, the most important part of your marketing tactics. In the next few lines you will find out which keywords are worth investing your time and money in.

We do this to find out how many searches have been conducted in the past month for any given keyword. In this search tool you can fill in every single keyword you have written on your list. The first measurement for your keywords is the amount of searches. If your main keyword has less than 20.000 searches using the overture tool, it will not be worth pursuing. It would take you too much time to get enough visitors.

What you’ve got left after this first exercise is a list of potential keywords to start building your income machine, but we only started, so lets find out what kind of other related keywords there might be to give you more opportunities. A great tool to do this and which is not known to everybody is at the following location:

What this tool will do for you is the following, just type in one of the keywords which you’ve got left after the first exercise and http://www.kwbrowse.com will show you which keywords are complimentary to your main keyword. Let’s take a keyword like headache. With the overture tool we discovered that there where 34621 searches in the past month which at this moment makes it a keyword worth pursuing.

Now, using this same word again with http://www.kwbrowse.com it shows us other keywords which are searched for a lot. For example: pain, back pain, headache relief and a few more. Most of these words will have enough searches on their own to make them very useful for your future online presents. But it gets even better.

When you click on one of the related keywords in http://www.kwbrowse.com that will become the new main keyword and it will show you the next set of complimentary keywords.

Great tool or what?

Just take some of the keywords, go back to:

http://inventory.uk.overture.com/d/searchinventory/suggestion/

and research how many times people searched for that new keyword you just found.

It will take some of your valuable time to go through the complete keyword list which you created earlier, but I can assure you, this will be the most important part to succeed online. Make sure to take this serious.

It is a great time of the year for good basketball fans nothing on our sports calendar compares to March Madness.

Before Syracuse and Pittsburgh advanced to the final, no team had ever achieved four games to gain the Big East tournament. If you just focused on Syracuse and the way McNamara carried the team on his back in the Big East, you would’ve had your fill of enthusiasm.

He seems to be a master of the 3 pointers just in the right time, he scored a 3-pointer with less than second left in the first game; in the second game he tied the game with a 3-pointer with just a few seconds left on the clock; a late 3-pointer followed by an assist on the game-winning basket in the third game; and concluded with 14 points and six assists in the championship.

At the early stages of the conference tourneys and opening rounds always makes the time we spend in front of the TV worth the while because they have something special to offer.
The end to end action, the outbreak of games, and last minute saves are what distinguishes March Madness from other major team sports events. Conference tourneys caused in offices around the nation to diminish, and even less work gets done during the NCAA’s first round so be prepared.

A lot of factors have to do with this. It’s not only about brackets and office pools. It’s basketball’s beauty as a sport, the crowd being so close to the court, the pep bands and ruthless arenas, the nerves and emotion, and most of all having four games to choose from or just watching four games at the time. Comprehensive Marketing Details Not Found in Beginner Books

If this is the first marketing article you are reading, go find some other more basic articles that I have written and then come back. This data is for the intermediate to advanced marketers.

I want to go over a three-step outline for your marketing which are:

1) Surveys

2) Getting Attention

3) Postage

Marketing surveys save you from flying blind in your business marketing strategies and are the best way to find out what you should be offering, to whom and how. When you don’t really know what to put in your direct mail marketing it’s because you haven’t done your research.

In order to get the response you would like on your direct mail marketing campaign, one area you need to look at is whether or not you are using a survey to find out what to say to your public. You may immediately answer “No - I don’t survey.” But truthfully, it’s very possible you do and just don’t realize it….read on.

You know your market quite well because you already sell to them. You’re unwittingly surveying all the time. Take this example:

An optometrist has an optical boutique. He knows that the biggest market for his eyewear are women from the ages of 40 to 65 years old. How does he know that? His frame inventory is constantly being restocked fives times more than his men’s frame stock or even children’s. And the types of women’s frames are ones compatible with no-line bifocals. Interesting! Let’s look at what else this optometrist knows. He knows that these women pay a higher price point for their eyewear because the products he keeps reordering are from the more upscale designers so these women probably have more discretionary income. That is what I mean by surveying unwittingly.

Now let’s take an example where you are sure you have no data:

You are a mortgage broker and you don’t know what to say to people to get them to refinance their property, yet this is the area you specialize in. You assume that the best deal will attract more customers. You conduct a marketing survey, or get a marketing survey conducted for you that asks people indirectly for their attitudes and emotions concerning refinancing and what would be the advantages and disadvantages. You find the majority of people would like to refinance but think it is a very complicated procedure and so they never try. From this information you are able to determine what the tone and message of your advertising should take.

So, what should your promotion say? How about “We’ll take the hassle out of refinancing for you. Find out how.” You will get a response. You could send out thousands of promotional pieces telling your prospects that you can get them the lowest rate, but that isn’t their concern. Their concern is that it’s too complicated. Do you see how you could miss? A survey is the answer.

It is smart business to design a survey (or have one designed) to send out to your past customers that will keep you in the know, and not in the dark.

Now let’s go into the next logical sequence of how to break the first barrier of getting attention, so the “button” you found from your survey hits them before they throw away your promotion before ever even reading it.

Ditch the Envelopes!

The most common question that is asked when dealing with direct mail is “How do I get their attention?” This is a major problem because, no matter what you do to them, most envelopes look basically the same. Print on them in color, make a window, stamp it urgent - your customers have seen all these tricks before. They get thrown away before they’re even opened. They can tell from the outside that it is a sales pitch and they just get rid of it. This causes you to lose sales because of assumptions made before you even try to get your message across, when if you had the chance to let the customer know what you were offering they might have gone for it. Plain and simple, the easiest way to get around this is by using postcards.

Not only does the full color aspect of postcards attract more attention than all of the envelopes in any given day’s stack of mail, but it will allow you to get your message across while recipients are making the decision of what to read and what to throw away.

Let’s use this example:

You are sitting on the subway and the guy next to you leans over and says “I have something I would like to sell you and it’s under my trench coat, are you interested?” So as any sane person would do, you move to the furthest seat from him so not to be bothered.

As you now sit in the farthest seat from the untrustworthy freak in the trench coat you are approached by a smiling little Girl Scout who holds out a box of cookies and says “Would you like to buy a box of cookies? Everyone loves the Thin-Mints!” So this time you pull out your wallet and plunk down the $3 for a box of delicious cholesterol and sugar.

See the difference? Don’t hide your message behind a trench coat. For all we know the “untrustworthy freak”, as I have affectionately named him, could have had a box of Thin-Mints under there.

We may never know, and neither will your customers if you don’t stop stuffing your promo into bland looking envelopes.

Now, make the final step easy and take out the hassle of direct mail.

It’s one thing to get postcards designed and printed. It’s another to get them into the hands of the recipients rapidly, efficiently, as inexpensively as possible and without too much hassle. You have the choice of doing it yourself in house or getting someone to do it for you.

The apparent advantage of doing it yourself is that you don’t pay someone else what they charge to do it for you. The disadvantage of doing it yourself is that it’s going to cost you more in the long run.

Why?

Normally your postage for a 4.25 x 6″ postcard is 23. Direct mail companies can lease special software from the USPS which reads the addresses and barcodes them. The post office gives a significant discount for bar-coded mail. Updating this software often (every three months) ensures that the addresses you are mailing to are good. If the person is not longer at that address then it’s a waste of your money to mail to them.

Because of the high tech equipment and software direct mail companies use, you can sometimes save as much as .04 cents per card. And you don’t have all the hassle of getting the mailing out yourself.

I call it a no-brainer: a technical term for saving money and hassle by getting someone else to do your mailing for you. If you have been doing it the hard way, switch over to a direct mail marketing company. I am sure they will be glad to help you save money, time and trouble.

Proper Shoes On The Course Pay Off.

Too often do I walk on the course and see people playing golf in their Tennis and running shoes. It’s ironic, if you contemplate how much time and money they’ve invested in just getting to the greens and they haven’t settled in a good pair of golfing shoes. History of Gas Scooters

The first patents for scooters go back as far as 1921. The Razor scooter was later developed by Gino Tsai in Shanghai, Taiwan and became an instant hit with the public. It didn’t take long for motor scooter popularity to expand all over the globe.

Even before 1950 there were as many as 110,000 scooters on the road in Italy alone. It has been just a little over 50 years since the Vespa-Douglas Corporation in the UK sold their first gas scooters. The Douglas corporation was on the verge of bankruptcy when they first began selling their gas scooters. It was a big hit at the 1950 Motorcycle Show and saved the company from possible financial ruin.

From 1950 to 1958 Vespa sold over 125,000 of their gas powered scooters in the UK. Why the great success? During this period the European countries didn’t have a great deal of money and there was not much gas available to the public. Due to the scarcity of gasoline and the high gas mileage of the gas motor scooter it’s popularity quickly escalated.

It didn’t take long for the Italian models (the Piaggio from Vespa and the Lambretta from Innocenti) to branch out to other countries. In France they became so popular the French tried to get in on the boom by manufacturing their own. By the early to mid 1950s the sale of gas scooters climbed to about 1 million a year in France alone.

Other countries wanted to profit from the newest craze and tried to climb on the band wagon. While some were successful others were not. Germany began to manufacture larger touring models, but this did not satisfy the public in the way the smaller, cheaper and more fuel-efficient models from Italy and France did. These smaller models were extremely popular in the European market.

Tourist Scooters Manufacturers in Germany built some very strong and powerful versions and were the first to install electric starters. These larger versions were great for traveling, touring and even racing, but were not as popular as the smaller, cheaper, more efficient models used for traveling shorter distances around town.

Vespa began marketing a couple of very popular gas powered scooters from Piaggio, the GS 125cc and the GS 150cc. These were improved versions of the earlier models for several reasons. The biggest reason is probably because the heavy gear mechanism rods were replaced by smaller and lighter cables.

France’s Roussey Scooters tried to one-up the Italian competition by coming out with a 175cc model. These were very nice vehicles and included the first water-cooled engines along with other new features, but because it had a pull-start it could not compete with the newer models from Italy that were already offering versions with electric starts.

As these wonderful vehicles have evolved over the years they have become increasingly more popular all over the world. Today they are everywhere. They are cheap to purchase, economical to operate, and are very handy and functional. These are not toys and are genuinely a lot of fun to ride. There are electric, gas powered, foldable, mobility and utility scooters.

The electric types are often used by kids and teens, but are also popular with the elderly and handicapped. Models for the handicapped are usually called mobility scooters. Folding varieties can be folded up and conveniently stored under desks, in closets or in other tiny areas and utility types are used for many different purposes. They are more popular than go karts, mini bikes or go carts. Scooters, sometimes called mopeds or go peds, are very functional, convenient and are here to stay.
